  • VidTutor is an AI-powered educational tool that generates summaries, courses, quizzes, and skill outlines from publicly available video content.
  • All materials generated by VidTutor ("Generated Content") are provided solely for personal study, commentary, research, and educational purposes.

2. Fair Use & Transformative Purpose

  • VidTutor's AI transforms publicly available information to create new, educationally focused outputs.
  • The Service is designed to promote learning and understanding by producing transformative derivative works that qualify as fair use under U.S. copyright law.
  • Users must not redistribute Generated Content commercially or in ways that would infringe upon the rights of original content creators.

3. No Professional Advice

The information produced by VidTutor—including AI-generated courses or chatbot responses—does not constitute professional advice.

Do not rely on VidTutor for:

  • Medical, legal, financial, or technical advice, or
  • Decisions that could affect your health, safety, finances, or legal obligations.
  • Always verify information with qualified professionals or trusted sources.

4. Accuracy and Reliability of AI Outputs

  • VidTutor uses artificial intelligence to process and summarize complex material.
  • Outputs may contain inaccuracies, omissions, or outdated information.
  • We make no guarantees regarding accuracy, completeness, or reliability.
  • Use VidTutor at your own discretion and cross-check facts independently.

5. Independence from YouTube and Third Parties

  • VidTutor is not affiliated with, endorsed by, or connected to YouTube, Google LLC, or their affiliates.
  • VidTutor does not host, stream, or reproduce YouTube videos.
  • Users must comply with YouTube's Terms of Service and all applicable copyright laws when using the platform.

6. No Warranties

The VidTutor Service and all Generated Content are provided on an "as is" and "as available" basis.

Los Necios LLC makes no representations or warranties of any kind, express or implied, including:

  • Fitness for a particular purpose,
  • Accuracy or reliability,
  • Non-infringement, or
  • Availability of the Service.

7. Limitation of Liability

To the fullest extent permitted by law:

  • Los Necios LLC, its affiliates, and its employees will not be liable for any losses or damages arising from the use of VidTutor or reliance on Generated Content, including but not limited to direct, indirect, incidental, consequential, or punitive damages.
  • Nothing in this Disclaimer limits liability for fraud, intentional misconduct, or any matter that cannot be excluded by law.

8. Third-Party Links & Services

  • VidTutor may reference or interoperate with third-party services (e.g., YouTube, Google, Supabase).
  • We do not control and are not responsible for third-party websites, APIs, or practices.
  • Your use of third-party services is governed by their own terms and policies.

9. Consumer Rights (EU/UK Users)

If you are a consumer located in the European Union or United Kingdom: Nothing in this Disclaimer excludes or limits your mandatory consumer rights under local law, including rights to remedies for defective digital services.

Los Necios LLC ("Company," "we," "our," or "us") respects intellectual-property rights and expects users of VidTutor ("Service") to do the same.

VidTutor uses AI to generate transformative educational materials—such as summaries, quizzes, and skills lists—from user-submitted video links. The Service does not host or stream original YouTube videos and is designed for personal study, commentary, and scholarship under the principles of fair use.

1. Copyright Complaints (U.S. DMCA)

If you believe material generated or stored through VidTutor infringes your copyright, please notify our Designated Agent.

2. Counter-Notification

If you believe your material was removed or disabled by mistake, you may submit a counter-notice including:

  • Your physical or electronic signature.
  • Identification of the material removed and where it appeared before removal.
  • A statement, under penalty of perjury, that you have a good-faith belief the removal was a mistake.
  • Your name, address, phone number, and consent to the jurisdiction of the federal court in South Dakota, and that you will accept service from the complainant.

We will forward valid counter-notices to the original complainant and may restore the material within 10–14 business days unless the complainant files suit.

3. Repeat-Infringer Policy

Los Necios LLC reasonably implements a policy to terminate, where appropriate, users who are repeat infringers. We maintain internal logs of valid notices associated with user accounts and apply escalating actions up to termination.

4. Standard Technical Measures

We accommodate and do not interfere with standard technical measures used by copyright owners to identify or protect their works, consistent with 17 U.S.C. § 512(i).

5. Fair Use & Educational Purpose

  • VidTutor operates under the belief that its AI-generated materials are transformative derivative works created for personal education, commentary, criticism, and research.
  • The outputs are not intended to replace the original videos but to help users learn from and analyze them.
  • Users are responsible for ensuring their use of VidTutor complies with fair-use principles and applicable copyright law.

6. Copyright Complaints Outside the United States

For users in the European Union, United Kingdom, or other jurisdictions outside the U.S.:

  • You may submit copyright complaints under your local law.
  • We will respond to valid notices and remove or disable access to infringing materials in accordance with the EU Copyright Directive, the UK Copyright, Designs and Patents Act 1988, and similar applicable laws.
  • Notices should be sent to support@losnecios.com with sufficient detail to identify the work and alleged infringement.

7. EU Digital Services Act (DSA) Notice

EU users may also report illegal or infringing content via support@losnecios.com. VidTutor will review reports and, where appropriate, remove content and inform the user of the reason for removal, consistent with the DSA's notice-and-action procedure.

8. Abuse of Notice Procedures

Knowingly submitting false infringement notices or counter-notices is prohibited and may result in liability for damages under 17 U.S.C. § 512(f) or equivalent local law.

9. Changes to This Policy

We may update this Policy from time to time. The updated version will be posted here with a new effective date. Material changes will be communicated through the Service.

1.3 Information Generated by AI Processing

When you submit a video URL, VidTutor's systems analyze the video's publicly available transcript to create summaries, quizzes, and skills lists. These outputs ("Generated Content") are stored for your use and to operate the Service.

  • We use cookies and local storage to maintain sessions and improve performance.
  • If analytics or advertising cookies are added, we will update this Policy and, where required, present a cookie banner for EU/UK users to manage consent.

3. How We Use Information

User data is stored in Supabase datacenters located in the U.S. Backups are encrypted and subject to our 30-day deletion cycle.

  • Delete Account: Use the in-app "Delete Account" button or email support.
  • Marketing Opt-Out: Click "unsubscribe" in emails or contact us.
  • Cookies: Adjust browser settings or decline non-essential cookies when prompted.

17. Do Not Track Signals

VidTutor does not respond to browser DNT signals, but we do not track users across third-party websites for advertising purposes.

18. Third-Party Links & APIs

  • VidTutor may link to external sites (e.g., YouTube). We are not responsible for their content or policies.
  • Use of YouTube content is subject to YouTube's Terms of Service and Privacy Policy.

19. Data Retention for Deleted Accounts

When you delete your account, we retain data for 7 days in active systems and 30 days in backups to support restoration requests and legal obligations.

20. Updates to This Policy

Terms of Service

These Terms of Service ("Terms") govern your access to and use of VidTutor, an AI-powered educational platform operated by Los Necios LLC ("Company," "we," "our," or "us").

By creating an account or otherwise using VidTutor, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & Age Restrictions

  • You must be at least 13 years old —or the age of digital consent in your jurisdiction, if higher—to use VidTutor.
  • The Service is not intended for or directed to children under 13. We do not knowingly collect personal information from anyone under 13.
  • If you are between 13 and 18 (or the age of majority where you live), you may only use VidTutor with the supervision and consent of a parent or guardian who accepts these Terms on your behalf.
  • By using VidTutor, you represent that you meet these requirements.

2. Accounts and Security

  • Certain features require an account via Supabase Auth or Google OAuth.
  • You must provide accurate information and keep your credentials secure.
  • You are responsible for all activity under your account. Notify us immediately of any unauthorized use.

3. Fees, Subscriptions, and Billing

3.1 Plans and Charges

VidTutor offers a paid subscription at USD $10 per month (or as displayed at checkout).

3.2 Auto-Renewal & Cancellation

  • Subscriptions auto-renew monthly until canceled.
  • You can cancel any time through your account settings or by emailing support@losnecios.com. Cancellation takes effect at the end of your current billing period.
  • We'll send a purchase confirmation email describing the plan, renewal date, and cancellation link.
  • We comply with the FTC "Click-to-Cancel" rule: online subscriptions can be canceled online in the same manner as enrollment.

3.3 Refunds and Errors

  • Fees are non-refundable, except as required by law or for verified billing errors.
  • If you believe a charge is incorrect, contact us within 30 days; we'll review and correct genuine errors.

4. Acceptable Use

You agree not to:

  • Violate any laws, third-party rights, or YouTube Terms of Service.
  • Submit unlawful, infringing, defamatory, or others' personal data without consent.
  • Probe, scan, or circumvent security or access controls.
  • Introduce malware or overload the Service.
  • Use bots or scraping tools to bypass rate limits.
  • Reverse engineer or attempt to extract source code, models, or training data.
  • Use outputs to build or train competing AI models.
  • Rely on outputs for medical, legal, or financial advice.
  • Misrepresent AI outputs as human-authored when disclosure is legally required.
  • Use VidTutor to harass, deceive, or cause harm.

5. User Content and Intellectual Property

5.1 Your Content

  • You retain ownership of any content you submit (e.g., YouTube URLs, prompts, notes).
  • You grant us a limited, revocable, non-exclusive, worldwide, royalty-free license to host, process, and display your Content solely to operate and provide VidTutor.

5.2 Generated Content ("AI Outputs")

  • All rights, title, and interest in and to AI-generated materials ("Generated Content") remain with Los Necios LLC.
  • We grant you a non-exclusive, worldwide, royalty-free license to use, download, and display Generated Content for your personal or internal business purposes only.
  • Examples of internal business use: internal employee training, internal presentations, and internal knowledge bases.
  • You may not resell, publicly distribute, or include Generated Content in external commercial products without our written consent.

5.3 No AI Training on User Data

We do not use your inputs or outputs to train our or third-party AI models.

5.4 Feedback

Any suggestions or feedback you provide may be used by us without restriction or compensation.

6. Fair Use and Educational Purpose

  • VidTutor provides a transformative educational tool for personal study, commentary, criticism, and scholarship.
  • Generated Content is intended to supplement, not substitute for the original works from which it is derived.
  • Users must use Generated Content in accordance with the principles of fair use and applicable copyright law.

8. Limitation of Liability

  • Los Necios LLC and its affiliates are not liable for indirect, incidental, consequential, or punitive damages.
  • Our total aggregate liability for all claims is limited to the greater of (a) $100 or (b) the amount you paid in the 12 months before the claim arose.
  • Nothing excludes liability for death or personal injury, fraud, willful misconduct, or any liability that cannot be excluded by law.

9. Indemnification

You agree to indemnify and hold harmless Los Necios LLC, its affiliates, and employees from any claims, damages, or expenses arising from:

  • Your use of VidTutor,
  • Your submitted content, or
  • Your violation of these Terms.

10. Termination and Data Deletion

  • We may suspend or terminate your access if you violate these Terms.
  • Upon termination, your right to use VidTutor ends, and we will handle your data per our Privacy Policy (removal from active systems within 7 days; from backups within 30 days).

11. Intellectual Property Rights of Los Necios LLC

  • VidTutor, its design, features, code, models, and trademarks are the property of Los Necios LLC.
  • You may not copy, modify, or distribute any part of VidTutor without permission.

12. Third-Party Services and APIs

  • Some features rely on third-party services such as Supabase, Google, and OpenAI.
  • We are not responsible for their availability, terms, or practices.
  • Your use of those services may be governed by their own terms.

13. Export Compliance

You represent you are not located in, or a resident of, any country subject to U.S. sanctions and will not use VidTutor in violation of export-control laws.

14. Governing Law and Dispute Resolution

14.1 U.S. Users

  • These Terms are governed by the laws of South Dakota (USA).
  • Disputes will be resolved by binding arbitration in Sioux Falls, SD, under the AAA Consumer Rules.
  • Claims must be brought individually — no class actions.
  • You may opt out of arbitration within 30 days of first use by emailing support@losnecios.com.
  • If arbitration is unenforceable, exclusive venue lies in state or federal courts in South Dakota.

14.2 EU / UK Consumers

  • If you reside in the EU or UK, mandatory arbitration and class-action waivers do not apply.
  • You may bring disputes in your local courts, and nothing in these Terms limits your statutory consumer rights (e.g., right to withdraw, conformity of digital content, refund rights).

15. Changes to the Service or Terms

  • We may modify VidTutor or these Terms at any time.
  • Material changes will be announced via the Service or email.
  • Continued use after changes constitutes acceptance.

16. General Provisions

  • Severability. If any part of these Terms is unenforceable, the rest remains in effect.
  • Waiver. Our failure to enforce any term is not a waiver.
  • Assignment. You may not assign these Terms; we may assign to an affiliate or in connection with a merger or sale.
  • Force Majeure. We are not liable for delays or failures caused by events beyond reasonable control (e.g., network outages, natural disasters, labor disputes, government actions).
  • Notices. We may communicate by email, in-app notice, or posting on our site; you consent to electronic communications.
  • Entire Agreement. These Terms constitute the entire agreement between you and Los Necios LLC regarding VidTutor and supersede prior understandings.
